(Nasdaq: GTYH) (“GTY”), a leading provider of SaaS/Cloud solutions for the public sector, announced today that that it will hold its 2019 Annual Meeting of Shareholders (the “2019 Annual Meeting”)on September 16, 2019 at 10:00 a.m. Eastern time at the offices of Winston& Strawn LLP, 200 Park Avenue, New York, New York 10166.
Shareholders of record of GTY common stock at the close of business onJuly 29, 2019 are entitled to notice of, and to vote at, the meeting. The Company expects the notice of the 2019 Annual Meeting and Definitive ProxyStatement will be mailed to shareholders on or about August 1, 2019. In addition, the Definitive Proxy Statement and 2018 Annual Report (“Form 10-K”) will also be available online at www.gtytechnology.com on the InvestorRelations page under Filings and Reports.
Because the expected date of the 2019 Annual Meeting represents a change of more than 30 days from the anniversary of the Company’s 2018 annual shareholders’ meeting, the Company has set a new deadline for the receipt of shareholder proposals submitted pursuant to Rule 14a-8 of the Securities Exchange Act of1934, as amended (the “Exchange Act”), for inclusion in the Company’s proxy materials for the 2019 Annual Meeting. To be considered for inclusion, such proposals must be received in writing by the Company before the close of business on July 12, 2019.
